InvestKit – Terms & Conditions (v2) Effective Date: February 10, 2026 • Last Updated: February 10, 2026 These Terms & Conditions ("Terms") are a legal agreement between you ("you", "your", "User") and InvestKit ("we", "us", "our", "Company"). They govern your access to and use of the InvestKit website, applications, and related services (the "Service"). By creating an account, subscribing to a plan, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. 1. What InvestKit Is InvestKit is a financial analytics platform that provides: • Financial statement data and historical charts for publicly traded US companies • Valuation metrics and fundamental analysis tools • Projection modeling tools (DCF and Reverse DCF calculators) • Earnings calendars and insider transaction data • Investor dashboards with tier-based feature access The Service aggregates data from third-party providers and public filings. It is a digital-only, read-only, informational tool. 2. What InvestKit Is NOT — No Financial Advice InvestKit is NOT a financial advisor, broker-dealer, investment service, or fiduciary. • Nothing on InvestKit constitutes financial, investment, legal, tax, or professional advice. • We do not recommend buying, selling, or holding any security. • We do not connect to brokerage accounts or execute trades. • We are not registered with any financial regulatory authority as an advisor or broker. Projection tools (DCF, Reverse DCF) are user-driven hypothetical calculators. The outputs reflect YOUR assumptions and inputs — they are not predictions, recommendations, or valuations endorsed by InvestKit. You are solely responsible for any decisions you make based on information from the Service. Always consult a qualified financial professional before making investment decisions. 3. Eligibility You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you confirm that you meet these requirements. 4. Your Account When you create an account: • You must provide accurate information. • You are responsible for keeping your login credentials secure. • You are responsible for all activity under your account. • You must notify us promptly if you suspect unauthorized access. Accounts are personal. You may not share, transfer, or sell account access to others. We reserve the right to suspend or terminate accounts that violate these Terms. 5. Subscription Plans and Pricing InvestKit offers three tiers: • Free — No cost. Includes core fundamentals, limited data history (2 years), basic charting, and limited projections (5). • Plus — Paid subscription. Expanded data access (10 years of history), more projections, full charting suite, and insider transaction data. • Premium — Paid subscription. Full data access (30 years of history), unlimited projections, and all available features. Current pricing is displayed on our pricing page at investkit.io/pricing. Prices are quoted in US dollars and do not include applicable taxes, which may be added at checkout based on your location. We reserve the right to change pricing at any time. Price changes will not affect your current billing period. You will be notified of any price changes before your next renewal, and continued use after notification constitutes acceptance of the new pricing. 6. Free Tier The Free tier is provided at our discretion. We may change, limit, or discontinue Free tier features at any time without prior notice. The Free tier does not create a perpetual right to any level of free access. 7. Billing and Payment 7.1 Payment Processing All payments are processed by Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you also agree to Stripe's terms of service. We do not store your full payment card details — Stripe handles this securely. 7.2 Billing Cycles Paid subscriptions are available in two billing cycles: • Monthly — billed once per month • Annual — billed once per year at a discounted rate For annual plans, the full annual amount is charged at the start of each billing year. The per-month price shown for annual plans is for comparison only; billing occurs annually. 7.3 When You Are Charged • For new subscriptions: at the time of purchase (or at the end of a free trial, if applicable). • For renewals: at the start of each new billing period. • If payment fails, we may retry the charge and/or suspend access to paid features until payment succeeds. 8. Auto-Renewal and Cancellation 8.1 Auto-Renewal All paid subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price, unless you cancel before the renewal date. BY SUBSCRIBING, YOU ACKNOWLEDGE AND AGREE THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AND YOUR PAYMENT METHOD WILL BE CHARGED AT EACH RENEWAL UNLESS YOU CANCEL. 8.2 How to Cancel You can cancel your subscription at any time through: • Your billing page at investkit.io/billing (click "Manage subscription") • The Stripe customer billing portal Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that period ends. No partial refunds are given for the remaining time in a billing period. 8.3 Effect of Cancellation After your current billing period ends: • Your account reverts to the Free tier • You retain access to your account and any data within Free tier limits • Features exclusive to paid tiers will no longer be accessible 9. Free Trials InvestKit offers a 7-day free trial period for paid plans. Payment information is required to start the trial. If the subscription is not cancelled before the trial period ends, the subscription will automatically convert into a paid plan and the payment method on file will be charged. Users may cancel at any time before the trial ends to avoid charges. • The trial duration is 7 days from the date of signup. • Payment information is required to start a trial. • You will not be charged during the trial period. • At the end of the trial, your subscription will automatically convert to a paid subscription at the stated price, unless you cancel before the trial ends. IF YOU DO NOT CANCEL BEFORE THE TRIAL ENDS, YOU WILL BE CHARGED FOR THE FIRST BILLING PERIOD OF YOUR CHOSEN PLAN. We offer a 7-day money-back guarantee after the first charge. Trial eligibility is limited to one trial per user. We reserve the right to modify or discontinue trial offers at any time. 10. Refund Policy 10.1 First Purchase Guarantee If you are a first-time subscriber and are not satisfied, you may request a full refund within 7 days of your initial purchase. To request a refund, contact us at support@investkit.io within the 7-day window. 10.2 Renewals Refunds are generally not provided for renewal charges. If you do not wish to be charged for a renewal, cancel your subscription before the renewal date. 10.3 Exceptions We may, at our sole discretion, issue refunds or credits outside these guidelines on a case-by-case basis. Nothing in this section limits your statutory rights. 11. EU Right of Withdrawal If you are a consumer in the European Union or European Economic Area, you have a statutory 14-day right of withdrawal from the date you subscribe, under the EU Consumer Rights Directive (2011/83/EU). However, because InvestKit is a digital service that begins immediately upon subscription: • By completing your purchase, you expressly request that we begin providing the Service immediately. • You acknowledge that by requesting immediate access, you lose your 14-day right of withdrawal once the Service has been fully provided, or, for ongoing subscriptions, once the Service delivery has commenced. If you did not expressly consent to immediate performance, or if we did not inform you of the loss of withdrawal rights, your right of withdrawal remains intact. In such cases, you may exercise your withdrawal right by contacting us at support@investkit.io within 14 days. To exercise the right of withdrawal, you must inform us by a clear statement (e.g., email to support@investkit.io) of your decision to withdraw. You do not need to give a reason. This section does not affect any other refund rights described in these Terms. Where your statutory rights provide greater protection than our refund policy, your statutory rights prevail. 12. Third-Party Data and Accuracy The Service displays financial data sourced from third-party providers, including but not limited to SEC EDGAR, Finnhub, and other market data providers. We do not guarantee that any data displayed on the Service is: • Accurate • Complete • Current • Free from errors or delays Data may contain errors, omissions, or delays introduced by third-party sources, data processing, or technical limitations. You should independently verify any information before relying on it for any purpose. We are not responsible for errors or omissions in third-party data, nor for any decisions or actions you take based on data displayed on the Service. 13. Acceptable Use You agree to use the Service only for lawful, personal, non-commercial research purposes and in accordance with these Terms. You may NOT: • Use automated tools, bots, scrapers, or crawlers to access the Service without prior written permission • Systematically download, extract, or redistribute data from the Service • Resell, sublicense, or commercially redistribute any data or content from the Service • Attempt to circumvent feature restrictions, paywalls, or rate limits • Reverse engineer, decompile, or disassemble any part of the Service • Use the Service to build a competing product or service • Interfere with the security, integrity, or availability of the Service • Share account credentials or allow multiple people to use a single account • Misrepresent your identity or affiliation • Violate any applicable law or regulation We reserve the right to suspend or terminate accounts and pursue legal remedies for violations of this section. 14. Intellectual Property All content, features, designs, code, and functionality of the Service are owned by InvestKit or its licensors and are protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes during the term of your subscription. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent. Financial data displayed on the Service may be subject to third-party intellectual property rights and license terms. 15. Disclaimer of Warranties THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that: • The Service will be uninterrupted, secure, or error-free • Data displayed will be accurate, complete, or current • The Service will meet your specific requirements • Defects will be corrected This disclaimer does not affect mandatory statutory rights that cannot be waived under applicable law, including EU consumer protection rights. 16. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: • InvestKit's total aggregate liability to you for all claims arising from or related to the Service is limited to the amount you paid to InvestKit in the twelve (12) months preceding the event giving rise to the claim, or fifty US dollars ($50), whichever is greater. • In no event shall InvestKit be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to: loss of profits, loss of data, loss of business opportunity, investment losses, or damages arising from reliance on data displayed in the Service. Specific exclusions: • We are not liable for investment losses or financial decisions made based on information from the Service. • We are not liable for errors in third-party data displayed on the Service. • We are not liable for service interruptions, downtime, or data unavailability. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable law, including mandatory EU consumer protection provisions. 17. Service Availability We aim to provide reliable access to the Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to: • Scheduled or emergency maintenance • Technical issues or outages • Third-party service disruptions • Factors beyond our reasonable control We reserve the right to modify, update, or discontinue any feature or the entire Service at any time. For paid subscribers, we will make reasonable efforts to provide advance notice of material changes that significantly reduce the functionality of your paid tier. 18. Termination 18.1 By You You may stop using the Service and cancel your subscription at any time as described in Section 8. 18.2 By Us We may suspend or terminate your access at any time if: • You violate these Terms • Your payment fails and remains unresolved • We are required to do so by law • We discontinue the Service If we terminate your account for reasons other than your breach of these Terms, we will provide a pro-rata refund for any prepaid, unused subscription period. 18.3 After Termination Upon termination: • Your right to access paid features ends immediately (or at the end of your billing period for voluntary cancellation) • We may delete your account data after a reasonable retention period • Provisions that should survive termination (limitations of liability, disclaimers, intellectual property, governing law) will survive 19. Changes to These Terms We may update these Terms from time to time. When we make material changes: • We will update the "Effective Date" at the top • We will notify you via email or in-app notification • For significant changes, we may require you to review and accept the updated Terms before continuing to use the Service If you do not agree with the updated Terms, you may cancel your subscription and stop using the Service. Continued use after the effective date of updated Terms constitutes acceptance. We maintain previous versions of these Terms at investkit.io/terms for your reference. 20. Governing Law and Disputes These Terms are governed by the laws of the European Union member state in which InvestKit is established. If you are an EU consumer, you retain the right to bring proceedings in the courts of your country of residence, and you benefit from any mandatory consumer protection provisions of your local law that cannot be waived by contract. For non-EU users, any disputes shall be resolved in the courts of the jurisdiction where InvestKit is established. We encourage you to contact us at support@investkit.io to resolve any issues before pursuing formal legal action. 21. General Provisions • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and InvestKit regarding the Service. • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. • No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision. • Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction. 22.
